EV battery manufacturing facilities combine senior CRE construction debt (typically debt fund or specialty bank), federal incentives (IRA Section 45X advanced manufacturing credit, elective pay ), state job creation grants, and where eligible DOE LPO (ATVM, Title XVII) loans / loan guarantees. Sponsor-side counsel essential for LPO process.
EV battery manufacturing capital stack and where each piece fits
Per Department of Commerce CHIPS / IRA implementation data, U.S. EV battery and component manufacturing investment has grown materially through 2023 to 2026, driven by IRA Section 45X advanced manufacturing production credits, USDOE / DOE LPO loan and loan-guarantee programs, and state / local job-creation incentives. The capital stack is more layered than typical CRE.
DOE Loan Programs Office (LPO): per DOE LPO publicly available program documentation, the ATVM (Advanced Technology Vehicles Manufacturing) program and Title XVII Innovative Energy Loan Guarantee program provide loans and loan guarantees for qualifying advanced-manufacturing and energy-related projects. ATVM has supported EV battery manufacturing facilities; Title XVII covers a broader set of innovative energy technologies. Sponsor-side process is multi-stage and resource-intensive; not a substitute for project-finance counsel.
IRA tax credits: Section 45X production credit on qualifying battery cells, modules, and components produces an annual tax credit per unit produced. Section 48C advanced energy project credit on qualifying facility investment. Section 45X and Section 48C can be transferred under section 6418. Elective pay is section 6417. A taxable sponsor should not treat 48C as if it has the same elective-pay path as 45X. Tax credit equity provides material upfront capital.
State and local incentives: state-level performance grants (job creation, capital investment), property-tax abatements, sales-tax exemptions on equipment, and state-funded infrastructure grants are common. Material to total project capital stack but not lender-recognized as collateral. Typical role: reduce construction cost and operating cost; improve perm-take-out coverage.
Disclaimer: DOE LPO process descriptions here reflect publicly available program framing only and are not legal advice or program-eligibility opinion. EV battery manufacturing project finance requires specialized project-finance counsel, particularly on LPO eligibility, IRA tax credit structuring, and section 6418 transfers and section 6417 elective pay.
