What ISDA basics should a CRE sponsor know before executing a rate cap or swap?

Short answer

The ISDA Master Agreement governs the long-term relationship between counterparty and sponsor; the Schedule customizes terms (governing law, threshold amounts, cross-default carve-outs ); the Confirmation papers each individual trade. Sponsors should pay particular attention to cross-default thresholds (which can be triggered by other loans in the sponsor's portfolio) and to the calculation-agent provisions that govern unwind cost discretion.

Three ISDA documents and what each governs

Master Agreement: the boilerplate framework agreement governing all derivative transactions between the sponsor (or sponsor entity) and the swap counterparty. Standard form, but the back of the document (the Schedule) customizes critical terms.

Schedule: the customization layer. Key sponsor-side negotiation items include governing law and jurisdictional venue, threshold amount before collateral posting (if any), cross-default amount (the dollar trigger that converts a default elsewhere in the sponsor's borrowing into a default under the ISDA), cross-default carve-outs (specifying which other loans count and which do not), and the calculation-agent provisions that determine who calculates unwind value at termination.

Confirmation: the trade-level document for each individual cap, swap, or option. Specifies notional, term, strike, fixed rate, floating index, payment dates, and settlement convention. The Confirmation is the operative trade document; the Master and Schedule provide the relationship framework.

Optional: Credit Support Annex (CSA). Required by some counterparties for swaps with material mark-to-market exposure. Defines collateral posting mechanics. Most cap-only relationships do not require a CSA; most swap relationships above a defined threshold do.

Practical sponsor planning: first-time ISDA documentation typically takes 4 to 8 weeks. Sponsors with active hedging programs maintain pre-cleared ISDA infrastructure with two or three counterparties; first-time hedgers should start the documentation process at term-sheet stage on the loan, not at cap-RFP stage.
