What lender rep and warranty issues arise in workouts?

Short answer

Workouts often surface CMBS rep-and-warranty repurchase claims when origination diligence missed material issues, environmental disclosures, rent-roll misstatement, undisclosed deferred maintenance. Original lenders may be required to repurchase the loan from the trust at par, recovering certificate holders. The borrower is largely a bystander.

Why does this matter to the borrower?

It can change the workout counterparty. If the original lender repurchases, sponsors negotiate workout terms with that lender directly rather than the special servicer, usually a faster and more flexible process. Sponsors should not actively raise rep breaches but should not hide material facts that the special servicer's review will find.

What rep breaches are most common?

Undisclosed environmental conditions, material misstatements in rent roll or operating statements, undisclosed litigation against the property or sponsor, and undisclosed liens. Sponsors who knowingly misrepresented at origination face fraud exposure beyond the workout.
