A mezz fund is a dedicated, programmatic capital pool with defined return targets, predictable terms, and a closing process that runs on schedule. Private mezz capital, family offices, life-co allocations, and high-net-worth syndicates, is more flexible on structure but slower and more relationship-dependent.
When should I prefer a fund?
When speed and certainty of execution matter more than negotiated terms. Funds quote fast, follow standardized intercreditor forms, and rarely re-trade. They suit sponsors with stabilized profiles and clean credit stories.
When should I prefer private capital?
When the deal needs unusual structure (longer accrual, programmatic warrants, partnership-style governance) or when relationships and follow-on capacity matter. Private capital can also cross multiple deals, funding mezz on one and equity on the next, which fund mandates rarely allow.
