Foreign capital in CRE

Overview

Foreign capital is structurally different from domestic equity at the tax, regulatory, and lender-diligence levels. This hub aggregates the foreign-capital and FIRPTA-blocker pillar, the foreign capital source decision matrix, sibling Q&As, and the IRS- and Treasury-anchored glossary.

Why this matters

Direct foreign ownership of U.S. CRE triggers FIRPTA on disposition, branch profits tax on repatriation, and ECI on operations. The combined burden can exceed 50% of net economics. Blocker structuring brings the rate down, but adds compliance.

CFIUS jurisdiction over real estate near covered military, port, and infrastructure sites means the deal can be blocked, conditioned, or unwound after closing. Foreign-capital diligence belongs in pre-LOI work.

How to use this hub

Start with the pillar for the framework. Use the foreign capital source decision matrix to pair source geography (Canada / Western Europe / Middle East SWF / APAC institutional / LatAm HNW / EB-5) with the right structure (REIT blocker, domestically-controlled REIT, partnership, direct) and the right deal-size band, and to overlay FIRPTA, treaty, and CFIUS exposure. Drop into the Q&As for FIRPTA, treaty, and EB-5 mechanics, and the glossary for IRS and Treasury terminology.

This hub is sponsor-POV process commentary, not tax or legal advice. Bring international tax counsel onto every foreign-capital transaction.
