An assumability clause allows a future property buyer to assume the existing loan subject to lender credit and net-worth approval, payment of an assumption fee , and satisfaction of stated tests. Most CMBS and agency loans are assumable; bank loans are typically due-on-sale unless assumability is negotiated at origination.
Why does assumability create value?
When the in-place loan carries a below-market coupon, the assumable loan transfers that economic value to the buyer, frequently worth several million dollars in present value. Sponsors can monetize this premium in the sale price. CMBS and agency loans with sub-3.5 percent coupons originated 2020 to 2022 are particularly valuable today.
Are there limits?
Most loans permit only one assumption. Some loans restrict assumability to the first 50 percent of the loan term. The buyer must satisfy lender credit tests; failure to qualify means the buyer must take new debt. Always confirm assumability at term-sheet stage if exit planning matters.
