The CMBS environmental indemnity is a separate, recourse personal indemnification by sponsor and guarantor for any environmental contamination liability arising from the property. It survives loan payoff and is generally non-discharged in bankruptcy. Sponsors often misunderstand its breadth at origination.
What does it cover?
Costs of investigation and remediation, third-party damage claims, regulatory penalties, and the lender's enforcement costs. Coverage extends to pre-existing contamination not detected by the Phase I, contamination caused by tenants, and contamination from off-site sources that migrate onto the collateral.
Can it be capped or limited?
Negotiation is possible: sponsors with strong leverage can sometimes cap exposure at a stated dollar amount or limit liability to known conditions identified in the Phase I. Most lenders resist these limits; sponsors should engage environmental counsel early in term-sheet negotiation.
