How do CRE sponsors finance their GP commitment?

Short answer

GP commitments to CRE funds typically run 1% to 10% of fund size. Financing sources include retained ManCo cash flow, dedicated ManCo or GP-credit facilities, GP-commitment financing from private credit lenders, and partial LP-side rollovers from prior funds. Pricing reflects whether the financing is recourse to the GP or non-recourse .

GP commitment financing structures and what LPs typically expect

Typical GP commitment sizing: institutional CRE funds expect 1% to 5% GP commitment from emerging managers and 3% to 10% from established managers. Some institutional LPs require minimum percentages or absolute dollar thresholds. The commitment is funded over the fund's investment period via capital calls alongside LP capital.

Self-funded from ManCo cash: sponsors with steady management-fee revenue often fund GP commitments from operating cash. Conservative approach but limits the rate at which the sponsor can launch new funds (each fund's GP commitment ties up cash flow for years).

LP-rollover funding: some institutional LPs offer to roll a portion of their distributions from a prior fund into the GP commitment of a new fund. Mechanically: prior-fund distributions to the LP are reduced, and the equivalent dollar amount is contributed to the new fund as part of the GP commitment. Helps GPs without depleting balance-sheet cash.

LP perspective: most LPs are comfortable with reasonable GP-commitment financing, though they typically require disclosure. Aggressive GP-commitment debt can be perceived as undermining alignment, the GP should bear meaningful capital-loss risk on fund performance, not just a financed commitment.

Sponsor playbook: at fund launch, decide GP-commitment funding strategy based on cash position, expected future fund cadence, and LP-base preferences. Consult with anchor LPs early; they typically have informed views on acceptable financing structures.
