What is the difference between a servicing fee and a trustee fee?

Short answer

Servicing fees compensate the master and primary servicer for payment processing, escrow management, and certificate-holder reporting. Trustee fees compensate the indenture trustee that holds the loan as collateral for the trust certificates. Both are deducted from the coupon before it reaches investors and are not negotiable by borrowers.

Why does this matter to borrowers?

Borrowers feel the fees only as a few basis points of all-in coupon, but they shape the workflow. The master servicer is the borrower's day-to-day counterparty for routine matters (estoppels, lease consents, reserve releases). The trustee acts only on instructions and is largely invisible until a default or restructure.

Are these unique to CMBS?

No, agency programs (Fannie DUS, Freddie Optigo) also embed servicing fees, although the structure is simpler. Balance-sheet bank loans usually have no separate servicing fee because the lender services the loan internally; the cost is subsumed in the spread.
