How is tax credit equity priced?

Short answer

Tax credit equity pricing is expressed as cents per dollar of credit (e.g., $0.85 means the investor pays 85¢ per dollar of future credit). LIHTC pricing tracks corporate demand for tax shelter; HTC compliance complexity reduces pricing; IRA energy credits transfer at 92¢, 96¢ reflecting credit risk and timing.

What drives the cents-per-credit number across credit programs

Tax credit programs change with IRS, Treasury, NPS, and CDFI Fund guidance. This page is sponsor-POV process commentary, not tax or legal advice. Engage tax counsel and a tax-credit syndicator for every transaction before relying on the mechanics described.

LIHTC pricing: ranges historically 85¢ to 95¢ per dollar of credit, with material variation based on market conditions, project quality, and investor demand. CRA-driven (Community Reinvestment Act) demand from banks and insurance companies anchors the LIHTC equity market. Pricing weakens when corporate tax rates fall (less need for shelter) and strengthens when corporate appetite for CRA credit increases.

HTC pricing: typically 80¢ to 90¢ per dollar of credit. Compliance complexity (5-year recapture period, master-lease vs. single-tier, NPS approval workflow) creates more friction than LIHTC, depressing pricing somewhat. State HTCs that pair with federal HTCs add complexity but also additional credit value.

NMTC pricing: investor pricing is often 75¢ to 85¢ per dollar of credit. The credit is 39% of the QEI, so that range is about 29¢ to 33¢ of equity per dollar of QEI before the leverage loan. The NMTC unwind at year 7, the QALICB compliance burden, and the leverage-loan interaction depress pricing relative to LIHTC and HTC.

IRA energy credit transfer pricing: typical transfer prices 92¢ to 96¢ per dollar of credit. Higher than partnership-flip historical pricing because transfers eliminate the time-value-of-money discount inherent in flip structures. Credit-quality discount applies, solar projects with completed cost certifications and operating history price tighter than pre-construction credits.

Drivers across all credits: (a) project quality and sponsor reputation; (b) credit-program mechanics (recapture risk, compliance complexity); (c) corporate tax-rate environment; (d) competitor demand (other tax-credit programs and equivalent tax-shelter alternatives); (e) project timing (construction-start vs. placed-in-service vs. operating).

Sponsor playbook: get multiple syndicator quotes early in the deal. LIHTC and HTC syndicator quotes are typically firm at LOI stage; NMTC pricing emerges through the structuring process. IRA energy transfer pricing is increasingly transparent through dedicated transfer marketplaces.
