An SPE is a Special Purpose Entity , typically a single-asset LLC or LP that owns one specific property, has no other assets, no other operations, and no other debt. Lenders require it on non-recourse loans for bankruptcy remoteness: if a sponsor's other entity files for bankruptcy, this loan and this property are insulated.
What does SPE compliance require?
Single-asset entity (the property only). No commingling of funds or operations with affiliates. Separate books and records, separate bank accounts, separate financial statements. Independent director or independent member with veto over voluntary bankruptcy filing (for larger loans).
Most CMBS, agency, and life co loans require ongoing SPE compliance and periodic certification. Failure to maintain SPE compliance is a non-recourse carve-out trigger.
What does the borrower need to do?
Form a new LLC or LP for each property. Open separate bank accounts. Keep separate books. Adopt operating agreements that include SPE provisions (typically drafted to lender's specifications). Pay SPE-specific fees (independent director fees on larger deals).
