How does zoning-relief timing fit inside the conversion loan process?

Short answer

Zoning approval typically gates construction-loan close. AB 2011 can make a qualifying multifamily project ministerial if the project meets the site, density, affordability, and labor tests. A market-rate office conversion that misses those tests is not by-right. Discretionary approvals (variances, special permits) require entitlement contingency in the acquisition contract or a pre-development bridge.

How to sequence entitlement, pre-development, and construction close

By-right vs. discretionary: AB 2011 can make a qualifying multifamily project ministerial on a site where office, retail, or parking is principally permitted, if the project meets the site, density, affordability, and labor tests. A market-rate office conversion that misses those tests is not by-right. NYC and DC have rolling text amendments creating by-right office-to-resi pathways in defined geographies. Discretionary approval (variance, special permit, environmental review) takes 6 to 18 months and adds entitlement risk.

Pre-acquisition entitlement contingency: on discretionary-approval markets, sponsors typically negotiate an entitlement contingency in the purchase contract (close conditional on receiving X approvals) or take a longer due-diligence period. This protects sponsor capital from being stranded on a building that cannot be entitled.

Pre-development bridge: when entitlement risk is meaningful, a small pre-development bridge funds acquisition + soft costs (architectural, structural, zoning counsel, environmental, traffic) through the entitlement period, then takes out into the construction loan at zoning approval. Pre-development bridge pricing is wider than post-entitled construction. Pre-development bridge is usually full recourse and often 12 to 18 months. Debt funds do most of them. Some banks will do them for relationship sponsors.

Construction-loan close timing: most lenders require all entitlements final and non-appealable at construction-loan close. Some lenders permit a 30 to 60 day construction-loan close conditional on receipt of remaining entitlement (typically just permits) but resist closing while a substantive zoning approval is still pending. Negotiate the entitlement-final-by-close language at term sheet, a missed entitlement on the lender's side becomes a closing failure.
