C-PACE financing is structured as a special property-tax assessment recorded against the real estate. Payments are typically deductible like real-estate taxes. The assessment runs with the land and sits ahead of mortgage debt in priority, senior lender consent is required and typically negotiated through a forbearance agreement.
C-PACE in the capital stack: tax characterization and lender consent
This page is sponsor-POV process commentary, not tax or legal advice. Bring a CPA and tax counsel onto every transaction before relying on any of the mechanics described below.
C-PACE mechanics: Commercial Property Assessed Clean Energy financing pays for energy-efficiency, water-efficiency, renewable-energy, and resilience improvements through a long-term special assessment recorded on the property. Payment terms typically run 15 to 30 years, paid via the property-tax bill alongside ad valorem taxes.
Tax characterization: C-PACE assessments are generally treated as real-property taxes for federal income-tax purposes, which means the payments are deductible by the property owner (subject to the limits applicable to property taxes). This contrasts with conventional financing, where interest is deductible but principal is not.
Senior-lender priority: the assessment is collected by the local taxing authority and sits ahead of mortgage debt in the foreclosure priority stack. Senior CRE lenders almost universally require explicit consent before C-PACE can be placed on a property they have already lent against. Standard form: a lender consent, sometimes paired with a forbearance agreement requiring lender notice on PACE assessment delinquencies.
When senior lenders consent and when they don't: agency multifamily lenders have program-level consent processes for C-PACE on their loans (Fannie has issued specific guidance; Freddie has a comparable process). CMBS lenders generally do not consent to retroactive C-PACE without bondholder approval. Bank and life-co lenders evaluate case-by-case; consent rates have increased as energy and resilience capex demand has grown.
Practical sponsor process: place C-PACE at acquisition or at a major capex event when senior debt is being newly placed or refinanced, getting consent at that moment is much easier than asking an existing lender to consent post-closing. Coordinate with the placement firm and the PACE administrator to align the senior-debt term sheet with the PACE program's underwriting.
