What is cross-collateralization on a CRE loan?

Short answer

Cross-collateralization secures one loan with multiple properties, a default on the loan triggers remedies against the entire collateral pool. Borrowers can sometimes achieve higher combined proceeds and tighter pricing through cross-collateralization, but lose flexibility on partial sales and create concentration of remedy exposure.

When does it benefit the borrower?

When individual properties would not stand alone for the desired loan size or pricing, combining them into one collateral pool can support better terms. Cross-collateralization is also useful when sponsors want a single loan agreement to administer rather than parallel loans on each asset.

What are the risks?

Inability to sell one property without paying down the entire loan or executing a partial release at the lender's release-pricing formula. Default on one property impacts all properties in the pool. Cross-default and cross-collateralization clauses are negotiable; sponsors should understand the breadth of remedy exposure before signing.
