How should a sponsor negotiate partial-release rights on a multi-property CRE loan?

Short answer

Adding partial-release later is much more expensive.

What to lock in at term sheet

DSCR back-test: the lender will require the remaining collateral to back-test to a defined DSCR (typically 1.20x) after the release. Negotiate the test to TTM rather than current quarter and include a cash-deposit cure right if the back-test fails.

Allocated loan amounts: the lender will allocate the loan amount across the properties at closing. Push for an allocation that reflects current market value rather than original cost basis; a property that has appreciated should carry a proportionately higher allocated amount so its release does not over-deleverage the remaining pool.

Peripheral parcels on single-asset loans: on a single-asset loan with extra land or peripheral parcels (out-parcels, parking, undeveloped acreage), negotiate the right to subdivide and release at term sheet. Adding this right post-closing is sometimes impossible and almost always expensive.
